Terms and Conditions

ย 

Article 1 (Purpose)

The purpose of these Terms and Conditions is to define the rights, obligations and responsibilities of Pernod Ricard Korea (hereinafter, the โ€œCompanyโ€) and users with regard to the use of internet-related services (hereinafter, โ€œServicesโ€) provided by PR Direct (hereinafter, โ€œPR Directโ€) (https://direct.pernod-ricard.kr/) operated by Pernod Ricard Korea.

Article 2 (Definitions)

(1) โ€œPR Directโ€ refers to a virtual business place that the โ€œCompanyโ€ has set up to trade goods using information and communication equipment such as computer, TV, mobile devices, etc. to provide goods to users, and it also means a business operator who runs the online mall.

(2) โ€œUserโ€ refers to a member who accesses โ€œPR Directโ€ and receives the services provided by โ€œPR Directโ€ in accordance with these Terms and Conditions.

(3) โ€œMemberโ€ refers to a person who has registered with โ€œPR Directโ€ as a member and who is entitled to use the services provided by โ€œPR Directโ€.

Article 3 (Disclosure, Explanation and Revision of Terms and Conditions)

(1) โ€œPR Directโ€ shall post the contents of these Terms and Conditions, name of CEO, address of offices (including the address where consumer complaints can be handled), telephone number, email address, business registration number, online business registration number, chief privacy officer, etc. on the first page of the โ€œPR Directโ€ so that users can easily access it. However, the contents of the Terms and Conditions can be made available to the users through a link to the page.ย 

(2) โ€œPR Directโ€ shall provide a separate page on important matters such as cancellation of orders, refund conditions, etc. to help users understand such important contents of the Terms and Conditions.

(3) โ€œPR Directโ€ may revise these Terms and Conditions to the extent permitted by relevant laws such as Act on the Consumer Protection in Electronic Commerce, etc., Act on the Regulation of Terms and Conditions, Framework Act on Electronic Documents and Transactions, Electronic Financial Transactions Act, Digital Signature Act, Act on Promotion of Information and Communications Network Utilization and Information Protection, Etc., and Framework Act on Consumers.

(4) In case a revision is made to the Terms and Conditions, โ€œPR Directโ€ shall post the effective date and reasons for revision on the front page of โ€œPR Directโ€ together with the current Terms and Conditions for a 7-day period until the date immediately preceding the effective date. However, if a revision is made to important provisions regarding restricting membersโ€™ rights or imposing obligations on โ€œMemberโ€, the announcement or notification shall be made at least 30 days prior to the revision.ย 

(5) Members will be deemed to have consented to the revision of the Terms and Conditions if they fail to expressively refuse the revision despite the clear announcement or notification by โ€œPR Directโ€ that they will be deemed to have expressed their intention if they fail to express their intention within a certain period of time. If a member does not consent to the revised terms, โ€œPR Directโ€ may not apply the revision, and in this case, a member may terminate the Contract of Use. However, if there exists a special circumstance where the existing Terms and Conditions cannot be applied, โ€œPR Directโ€ may terminate the Contract of Use.ย 

(6) In case a revision is made by โ€œPR Direct,โ€ the revised terms and conditions shall apply only to the contracts entered into after the effective date of revision, and the existing terms and conditions used prior to the revision shall continue to be applied to the contracts made prior to the revision. However, if a user who has already signed a contract prior to the revision sends โ€œPR Directโ€ his/her intention to have the revised terms and conditions applied and obtains a consent from โ€œPR Directโ€ within the notice period specified in paragraph 4, the revised terms and conditions shall apply.ย 

(7) Matters not specified in these Terms and Conditions and the interpretation thereof shall be governed by Act on the Consumer Protection in Electronic Commerce, etc., Act on the Regulation of Terms and Conditions, Guidelines on the Consumer Protection in Electronic Commerce, etc. set by the Fair Trade Commission and relevant laws and regulations or commercial practices.

Article 4 (Provision and Modification of Services)

(1) โ€œPR Directโ€ performs the following tasks.

  1. Provision of information on goods and conclusion of purchase contracts
  2. Handover of goods for which the purchase contract has been made
  3. Online business services for the transaction of goods and accompanying services
  4. Other tasks set by โ€œPR Directโ€

(2) โ€œPR Directโ€ may change the contents of goods to be provided via the contract to be concluded in the future in the event that goods are sold out or technical specifications are changed. In this case, an immediate announcement shall be made on a place where the contents of current goods are posted, specifying the contents of goods to be changed and date of provision.ย 

(3) When โ€œPR Directโ€ changes the contents of services contracted with the user for reasons such as out-of-stock goods or change of technical specifications, etc., such reasons shall be notified to users immediately in the manner determined by the Article 8 of these Terms and Conditions.

(4) In the case of the preceding paragraph, โ€œPR Directโ€ will compensate for damages inflicted on users by the change. However, this shall not apply if โ€œPR Directโ€ proves that thereโ€™s no intention or negligence.

Article 5 (Modification and Suspension of Service)

(1) โ€œPR Directโ€ may modify its services.

(2) โ€œPR Directโ€ may limit or suspend all or part of its services if any of the following occurs.

  • When inevitable due to repair or maintenance of equipment used for services
  • When a member disrupts operation of services provided by โ€œPR Directโ€
  • When services cannot be used properly due to outage, breakdown of equipment or excessive use of services
  • When services cannot be maintained due to special circumstances such as modification and suspension of services
  • When a force majeure event occurs such as natural disaster and national emergency

(3) When services are suspended pursuant to the preceding paragraph, โ€œPR Directโ€ shall notify members in the manner as prescribed in Article 8. However, this shall not apply if such notification cannot be given in advance as the services are suspended due to reasons that are beyond the control of โ€œPR Directโ€ (disk failure, system shutdown, etc. that occurs without intention or negligence of โ€œPR Directโ€ or administrator).

(4) โ€œPR Directโ€ shall not be liable for any damages caused due to the modification and suspension of services specified in this Article unless thereโ€™s intention or gross negligence.

Article 6 (Membership Signup)

(1) A user who wants to sign up for membership shall enter the necessary information in the membership application form as provided by โ€œPR Directโ€, go through adult authentication and apply for membership by expressing his/her intention to consent to these Terms and Conditions, collection, provision and use of personal information, and collection of cookie information.

(2) โ€œPR Directโ€ shall register users who apply for membership as prescribed in paragraph 1 as members unless they fall under any of the following.ย 

  1. An applicant has a prior experience of losing membership in accordance with the Article 7 paragraph 3 of these Terms and Conditions. However, an exception shall be made if three years have passed since the loss of membership under the Article 7 paragraph 3 and an approval has been obtained from โ€œPR Directโ€ for new membership.
  2. False, incomplete, or incorrect information is included in the application
  3. It is deemed that the registration of the applicant as a member brings significant technical hindrance to โ€œPR Direct.โ€
  4. An applicant is under 19 years old as of the date of application for membership.

(3) The membership contract shall be established upon applicantโ€™s receipt of application acceptance by โ€œPR Directโ€.

(4) When thereโ€™s any change to the information entered during membership signup, a member shall inform โ€œPR Directโ€ of the change via amendment of member information, etc. within a considerable period. ย 

ย 

Article 7 (Withdrawal and Termination of Membership, etc.)

(1) A member may request withdrawal of membership anytime by clicking โ€œwithdrawalโ€ button on the member information page of โ€œPR Directโ€ website, and when such request is made, โ€œPR Directโ€ shall process the withdrawal immediately.

(2) If a member falls under any of the following, โ€œPR Directโ€ may limit or terminate membership.

  1. A member dies.
  2. A member fails to pay for the goods, etc. purchased via โ€œPR Directโ€ or any other amount payable in regard to the use of โ€œPR Directโ€ by the due date.
  3. A member entered a false information during membership application
  4. A member steals another personโ€™s ID, password or personal information
  5. A member commits an act falling under any of the following, an act prohibited by relevant laws and regulations or these Terms and Conditions or an act that goes against public order and morals
  1. Damage another personโ€™s reputation on the screen of โ€œPR Directโ€ or interfering with the use of โ€œPR Directโ€ by others
  2. Post obscene materials on the โ€œPR Directโ€ website or a link to a website that contains obscene materials

6. A member commits an act falling under any of the following or an act of intentionally hindering normal business activities or operation of services by โ€œPR Directโ€.

  1. Engaged in verbal abuse, threatening or obscene words and behaviors against employees of โ€œPR Directโ€ in the course of using โ€œPR Directโ€
  2. Habitually or repeatedly cancel or return goods purchased via โ€œPR Directโ€ without justifiable reason disrupting operation of business

(3) โ€œPR Directโ€ may deprive a member of the membership rights if the same acts are repeated twice or more, or if the cause is not corrected within 30 days after โ€œPR Directโ€ limits or suspend the membership.

(4) In case โ€œPR Directโ€ deprives a member of the membership rights, membership registration is cancelled. In this case, it shall be notified to the member and an opportunity will be given for an explanation at least for a 30-day period prior to the cancellation of membership registration.

Article 8 (Notification to Members)

(1) When โ€œPR Directโ€ notifies a member, the notification may be made to an email address that the member designated in advance.

(2) In the case of notification to unspecified members, โ€œPR Directโ€ may replace individual notification with posting of the notification on the notice board of โ€œPR Directโ€ for one week or more. However, individual notification shall be made on matters that cause a significant impact in regard to the transaction with a member.

Article 9 (Application for Purchase)

(1) Users of โ€œPR Directโ€ shall apply for purchase on the โ€œPR Directโ€ website in the following or similar manner. โ€œPR Directโ€ shall provide with the following information in an easy-to-understand manner with regard to usersโ€™ application for purchase.

  1. Search and select goods, etc.
  2. Enter name, address, email address(or mobile phone number), etc.
  3. Confirm contents of Terms and Conditions and matters relating to goods for which right to cancel order is restricted
  4. Consent to these Terms and Conditions and confirm or refuse Item 3 above (e.g. mouse click)
  5. Apply for purchase of goods, etc. and consent to the confirmation of the application or confirmation by โ€œPR Directโ€
  6. Select payment method [select from among debit card, check card, credit card, any other cards or Kakao Pay]
  7. Select a date to receive products [select one day from the 4~8 business day period from order date]
  8. Other procedures determined by โ€œPR Directโ€

(2) The maximum amount of payment for one(1) order is 2 million KRW.

(3) In the event that โ€œPR Directโ€ needs to provide or entrust personal information of purchaser to a third party, a consent must be obtained from the purchaser at the time when the actual application for purchase is made, and a comprehensive consent shall not be obtained in advance during membership signup. โ€œPR Directโ€ shall notify a purchaser of items of personal information to be provided, recipients, recipientsโ€™ purpose of use of personal information, period of retention and use, etc. However, if relevant laws and regulations provide otherwise, those laws and regulations shall apply.ย

Article 10 (Establishment of Contract)

(1) โ€œPR Directโ€ may not approve an application for purchase under the Article 9 if it falls under any of the following:

  1. False, incomplete or incorrect information is included in the application
  2. The purchase is made for the purpose of commercial activity (resale) or it is deemed that the purchase is made for the purpose of commercial activity (resale) considering transactional circumstances.
  3. Terms and Conditions of โ€œPR Directโ€ or domestic laws and regulations are not observed or a reasonable suspicion is raised that they have not been observed.
  4. It is deemed that approving an application for purchase causes a significant hindrance to โ€œPR Directโ€ in terms of technology or commercial practices.

(2) The contract shall be deemed to have been established at the time when the approval by โ€œPR Directโ€ reaches the user in the form of receipt confirmation notification as prescribed in Article 12 paragraph 1.

(3) The notification of approval shall include confirmation of userโ€™s application for purchase, sales availability, information on modification and cancellation of the application, etc. ย

Article 11 (Payment Method)

Payment for goods purchased at โ€œPR Directโ€ can be made using any of the following methods.

  • Payment with cards such as debit card, credit card, etc.
  • Payment using Kakao Pay
  • Other payment systems deemed appropriate as a payment method and announced by โ€œPR Directโ€

Article 12 (Receipt Confirmation Notification and Modification and Cancellation of Purchase Application)

(1) Where a user makes an application for purchase, โ€œPR Directโ€ shall confirm and notify the user of the receipt of application. ย 

(2) Upon receiving the receipt confirmation notification, the user may immediately request to modify or cancel the purchase application in case of inconsistency between declaration and intention. For request made before the order confirmation, โ€œPR Directโ€ shall process the request without delay. However, in the event that the payment has already been made, the terms of Article 15 Cancellation, etc. of Orders, shall apply.

Article 13 (Supply of Goods, etc.)

(1) Unless there exits any separate agreement made with the user regarding the timing of supply of goods, โ€œPR Directโ€ shall take measures necessary to ensure that the user can pick up goods within seven days from the date the user places an order. However, where a separate agreement is made between the user and โ€œPR Directโ€ regarding the timing of supply of goods, etc., this shall not apply. In this case, โ€œPR Directโ€ shall take appropriate measures so that users can confirm the procedures for supply of goods, etc., and progress.

(2) A user shall pick up goods purchased in person by visiting the store on the date designated by the user.

(3) When picking up goods purchased, a user must go through a process confirming the person picking up the goods is the one who placed an order via identification card such as resident registration card, driving license or passport.

(4) If a user fails to pick up goods on the designated date, the order is cancelled and payment shall be refunded.

(5) Goods purchased by a user is for userโ€™s consumption only and resale/transfer of goods is strictly prohibited.

Article 14 (Refund)

When โ€œPR Directโ€ is unable to hand over or provide goods, etc. for which a user made a purchase application due to reasons such as out-of-stock goods, โ€œPR Directโ€ shall notify the user of the reason without delay. In the event that the payment has already been made for the goods, etc., the payment shall be refunded or measures necessary for refund shall be taken within three business days from the date of payment.

Article 15 (Cancellation, etc. of Orders)

(1) A user who has concluded a contract with โ€œPR Directโ€ on the purchase of goods, etc., may cancel the contract within seven days from the date of receiving a document on the contents of the contract provided in Article 13 (2) of the Act on the Consumer Protection in Electronic Commerce, etc. (seven days from the date the goods, etc., have been supplied, or the supply of the goods, etc., has begun in case the supply of the goods, etc., has been performed after the delivery of a document) via consumer center of โ€œPR Directโ€. However, if the Act on the Consumer Protection in Electronic Commerce, etc. provides otherwise, provisions therein shall apply.

(2) Once goods have been received, no user shall return or exchange goods in any of the following cases:

  1. Where the goods, etc., have been destroyed or damaged due to a cause attributable to the user: Provided, that this shall not apply where the package, etc., has been damaged to check the contents of the goods, etc.;
  2. Where the value of the goods, etc., has substantially decreased due to userโ€™s use or partial consumption; or
  3. Where the value of the goods, etc., has substantially decreased due to the elapse of time, making resale difficult or impossible.

(3) Notwithstanding paragraphs (1) and (2), where the contents of the goods, etc., are different from what was indicated or advertised, or have been performed differently from the terms of the contract, the user may cancel the order, etc., within three months from the date of receiving the goods, or within 30 days from the date he/she knew or could have known such fact.

Article 16 (Effect of Cancellation, etc. of Orders)

(1) Where โ€œPR Directโ€ has received goods from a user, โ€œPR Directโ€ shall make a refund of the price of goods, etc. received within three business days. In such cases, if โ€œPR Directโ€ delays the refund to the user, โ€œPR Directโ€ shall pay a penalty interest for delay calculated by multiplying the interest rate prescribed by Article 21(3) of Enforcement Decree of the Act on the Consumer Protection in Electronic Commerce, etc. (hereinafter referred to as "Delay Compensation"). ย 

(2) In making a refund, where a user has paid the price of the goods, etc., by credit card, Kakao Pay or other means of settlement, โ€œPR Directโ€ shall promptly request a business operator who has supplied the relevant means of settlement to stop or cancel the request for payment.

(3) For the return of goods received in case of cancellation of contract, a purchaser shall visit Seoul office of the โ€œCompanyโ€ and deliver the products in person. โ€œPR Directโ€ shall verify the identity of a purchaser using ID cards such as resident registration card, driving license, passport, etc. before proceeding with return of goods. โ€œPR Directโ€ shall not request the user to pay either the penalty for the breach of contract, or compensation for damage by reason of cancellation, etc. of orders.

Article 17 (Protection of Personal Information)

(1) โ€œPR Directโ€ shall collect the minimum personal information necessary for provision of services when collecting personal information of a user.ย 

(2) โ€œPR Directโ€ shall not collect information necessary for fulfillment of purchase contract in advance at the time of membership signup. However, this shall not apply when collecting specific personal information to a minimum degree necessary to verify identification prior to purchase contract to implement obligations specified in the relevant laws and regulations.

(3) When collecting and using personal information of a user, โ€œPR Directโ€ shall notify the user of the purpose and obtain consent.

(4) โ€œPR Directโ€ shall not use personal information collected for any other purposes than intended one. When a new purpose arises, or providing it to a third party, โ€œPR Directโ€ shall notify relevant user of the purpose and obtain consent at the use/provision stage. However, exceptions shall be made if relevant laws and regulations provide otherwise.ย 

(5) Where there exists a need to obtain consent from a user, โ€œPR Directโ€ shall stipulate or notify in advance matters as defined in the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc. and Personal Information Protection Act such as identity of chief privacy officer (affiliation, name, phone number, etc.), purpose of collection and use of information, matters relating to the provision of information to a third party(recipient, purpose of provision, contents of information to be provided), etc., and a user may withdraw the consent at any time.

(6) A user may request access to and correction of errors for his/her personal information retained by โ€œPR Directโ€ anytime, and โ€œPR Directโ€ has an obligation to take necessary measures without delay. Where a user requests error correction, โ€œPR Directโ€ shall not use the personal information until such error is corrected.

(7) For the protection of personal information, โ€œPR Directโ€ shall keep the number of persons who process personal information of users to a minimum and shall be liable for damages caused to a user due to loss, theft, leakage, provision to a third party without consent, alteration, etc. of usersโ€™ personal information including credit cards, etc.

(8) โ€œPR Directโ€ and a third party who receives personal information from โ€œPR Directโ€ shall destroy relevant personal information without delay upon achieving the purposes of collection or receipt

(9) โ€œPR Directโ€ shall not set the collection, use and provision of personal information to have been consented in advance. Also, it shall specifically stipulate services limited in case a user refuses to consent to the collection, use and provision of personal information, and shall not limit or reject provision of services such as membership signup by reason of userโ€™s refusal to consent to the collection, use and provision of personal information that is not part of required items of collection.

Article 18 (Obligations of โ€œPR Directโ€)

(1) โ€œPR Directโ€ shall not perform any act that is prohibited by these Terms and Conditions as well as relevant laws and regulation or an act that is contrary to public order and good morals. Also, it shall use its best efforts to provide goods in a consistent and stable manner as determined by these Terms and Conditions. ย 

(2) โ€œPR Directโ€ shall be equipped with a security system to protect userโ€™s personal information including credit information so that users can use the online services safely.

(3) When a user suffers damages caused by โ€œPR Directโ€โ€™s act of placing unfair labeling and advertising on products under the Article 3 of the Act on Fair Labeling and Advertising by โ€œPR Directโ€, โ€œPR Directโ€ shall be obligated to compensate for such damages.

(4) โ€œPR Directโ€ shall not send a user any unwanted advertising email for profit.

Article 19 (Membersโ€™ Obligation on ID and Password)

(1) A member is responsible for the management of ID and password except for cases as prescribed in Article 17.

(2) A member shall not allow a third party to use his/her ID and password.

(3) Where a member recognizes that his/her ID and password are stolen or is being used by a third party, he/she shall notify โ€œPR Directโ€ immediately and follow the instructions from โ€œPR Directโ€ if any.

Article 20 (Obligations of Users)

A user shall not engage in any of the following acts:

  1. Entry of false personal information in the process of application or modification
  2. Purchase of products using other personโ€™s ID or card information or use of โ€œPR Directโ€ services by pretending product purchase
  3. Use of or access to a system through abnormal methods including a computer program, not through the service method provided by โ€œPR Directโ€
  4. Infringement on the intellectual property right of โ€œPR Directโ€ or any other third party
  5. Damage to the reputation of โ€œPR Directโ€ or any other third party or obstruction of business
  6. Disclosure or posting of obscene or violent messages, images, voices, and other information that goes against public order and good morals on โ€œPR Directโ€ website
  7. Resale/transfer of goods purchased

Article 21 (Copyright and Limitation of Use)

(1) The copyright and other intellectual property rights of the work produced by โ€œPR Directโ€ shall belong the โ€œCompany.โ€

(2) A user may not use or cause any third party to use information obtained during use of โ€œPR Directโ€ with intellectual property rights belonging to the โ€œCompanyโ€ for reproduction, transmission, publishing, distribution, broadcasting or other profit-making use without prior permission from โ€œPR Direct.โ€ ย

Article 22 (Dispute Settlement)

(1) โ€œPR Directโ€ shall establish and operate a customer center, a damage compensation management organization, to reflect legitimate opinions or complaints raised by users and handle compensation for damages.

(2) โ€œPR Directโ€ shall handle complaints and opinions submitted by users as a matter of priority. In case a matter cannot be handled promptly, the cause and processing schedule shall be notified to the user immediately.

(3) Where a user files an application for remedy for damages in regards to the dispute arising out of electronic commerce between โ€œPR Directโ€ and a user, a mediation by a dispute mediation organization commissioned by Korea Consumer Agency, Fair Trade Commission or mayor of city or Do governor shall be followed. ย ย

Article 23 (Governing Law and Jurisdiction)

(1) A lawsuit regarding dispute arising out of electronic commerce between โ€œPR Directโ€ and a user shall be brought to the Seoul Central District Court.

(2) Matters relating to these Terms and Conditions shall be governed by the law of the Republic of Korea.

Article 1 (Enforcement date)

These Terms and Conditions shall enter into force on October 5, 2023.
